Terms of Service

1. Acceptance of Terms

By creating an account on ScopeMSP or by accessing or using any part of the Service at scopemsp.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (or the company you represent) and ScopeMSP (“we”, “us”, or “our”).

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

ScopeMSP is a software-as-a-service (SaaS) platform designed specifically for Managed Service Providers (MSPs). The Service enables users to generate AI-powered sales proposals by providing discovery call notes, selecting a service type, and specifying a target audience. The AI system produces structured, section-by-section proposal documents that users can review, edit, and share via branded links.

The Service includes proposal generation, shareable proposal links with view tracking, PDF export, custom branding options, and win/loss tracking functionality. Features may be added, modified, or removed at our discretion with reasonable notice where material changes affect paid subscribers.

3. User Accounts

To use the Service you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account, whether or not you authorised it. You must notify us immediately at hello@scopemsp.com if you suspect any unauthorised access.

You may not share login credentials with other individuals or organisations. Each account is issued to one named user. Accounts may not be transferred without our prior written consent.

4. Subscription and Billing

ScopeMSP offers one plan: Pro at USD $499 per month(the “Subscription Fee”), billed monthly in advance. All subscriptions begin with a 7-day free trial. During the trial period you have access to all Pro features; no charge is made until the trial ends. You may cancel at any time during the trial without incurring any charge.

Payments are processed by Stripe, Inc. By subscribing you authorise us to charge your payment method on a recurring monthly basis. Subscription Fees are non-refundable except where required by applicable law. If a payment fails we will attempt to collect payment for up to 14 days before suspending access.

You may cancel your subscription at any time from the account settings page. Cancellation takes effect at the end of the then-current billing period; you will retain access to the Service until that date. We reserve the right to change the Subscription Fee on 30 days’ written notice; continued use after the notice period constitutes acceptance of the new fee.

5. Acceptable Use

You agree not to:

• Resell, sublicense, or otherwise make the Service commercially available to third parties without our prior written consent.
• Use the Service to generate content that is fraudulent, defamatory, harassing, obscene, or otherwise unlawful.
• Attempt to reverse-engineer, decompile, or otherwise extract the source code of the Service or its underlying AI models.
• Use automated tools (bots, scrapers, or similar) to access the Service in a manner inconsistent with normal human use, or to bulk-download proposal content.
• Introduce malware, conduct denial-of-service attacks, or otherwise interfere with the integrity or performance of the Service.
• Circumvent, disable, or otherwise interfere with security or authentication features of the Service.

Violation of this section may result in immediate suspension or termination of your account without refund.

6. Fair Use and Rate Limits

The Pro plan is described as offering unlimited proposal generation for normal business use by a single MSP. To protect the quality and availability of the Service for all subscribers, we apply the following fair-use limit:

• 50 proposals per calendar day (UTC) per account. The counter resets at 00:00 UTC. The vast majority of MSPs will never approach this threshold under normal business operations.
• Automated or scripted generation that exceeds this limit, or that is designed to circumvent it, is a violation of the Acceptable Use policy in Section 5.

If your legitimate business needs consistently exceed this threshold, contact us at hello@scopemsp.com to discuss an appropriate arrangement. We will not penalise genuine heavy users who operate within the spirit of the Service.

7. AI-Generated Content Disclaimer

The proposals generated by ScopeMSP are produced by an AI language model (Anthropic Claude). While the system is trained and prompted to produce commercially useful, MSP-specific output, AI-generated content can contain inaccuracies, omissions, or language that is not appropriate for every prospect or situation.

You are solely responsible for reviewing each AI-generated proposal before sending it to any prospect or client. ScopeMSP does not guarantee that proposals are accurate, complete, fit for purpose, or consistent with your specific service offerings, pricing, or legal obligations. You should not send any proposal without first verifying that its scope, pricing, SLA commitments, and terms reflect your actual intent.

Any commercial or legal liability arising from a proposal you send to a third party rests solely with you. ScopeMSP accepts no responsibility for deals made, disputes arising, or obligations incurred on the basis of AI-generated content.

8. Intellectual Property

Our property. The ScopeMSP platform, its codebase, user interface, trademarks, and all underlying technology remain the exclusive property of ScopeMSP. Nothing in these Terms grants you ownership of or a licence to our intellectual property beyond the right to use the Service as described herein.

Your content.You retain ownership of the discovery notes, company data, and other content you submit to the Service (“Input Content”). You grant us a limited, non-exclusive licence to process your Input Content solely to provide the Service to you. We do not use your Input Content to train AI models without your explicit consent.

Generated proposals. Subject to your compliance with these Terms and payment of applicable fees, we assign to you all rights in the specific proposal output generated from your Input Content. You may use, modify, and distribute proposal output for legitimate business purposes.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ScopeMSP and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for any claims arising from or related to these Terms or the Service exceed the amount you paid to ScopeMSP in the three calendar months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities; in those jurisdictions our liability is limited to the greatest extent permitted by law.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or free of harmful components.

11. Termination

You may terminate your account at any time by cancelling your subscription in account settings and ceasing use of the Service. We will delete your account data in accordance with our Privacy Policy following termination.

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, fail to pay applicable fees after a cure period, or if we are required to do so by law. Upon termination, your right to access the Service ceases immediately. Sections 7, 8, 9, 10, 12, and 13 survive termination.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Finland, without regard to its conflict-of-law provisions. If you are a consumer located in another EU member state, the mandatory consumer protection provisions of your country of residence continue to apply.

Any dispute arising out of or related to these Terms shall first be addressed through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may bring proceedings in the courts of Finland, which shall have exclusive jurisdiction, subject to any mandatory provisions of applicable EU law.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes we will notify you by email (to the address associated with your account) and by posting the updated Terms at scopemsp.com/tos at least 14 days before the changes take effect for existing subscribers. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
